Terms & Conditions

These terms are the agreement between you and Answer Perfect for use of our AI voice receptionist service. Please read them carefully — they include important provisions about call recording, AI limitations, billing, liability, and dispute resolution.

01  Acceptance of Terms

These Terms & Conditions (“Terms”) govern your access to and use of the website, applications, and AI voice receptionist services (the “Service”) offered by Reach Optimized LLC d.b.a. Answer Perfect (“Answer Perfect,” “we,” “us,” or “our”). By creating an account, starting a trial, purchasing a subscription, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.

If you use the Service on behalf of a business, you represent that you are authorized to bind that business to these Terms, and “you” refers to that business.

02  The Service

Answer Perfect provides an AI-powered voice receptionist that answers inbound calls to your business phone number, responds to callers using a knowledge base and instructions you configure, books and manages appointments, screens unwanted calls, and routes messages and notifications to you. The Service is built on and integrates third-party platforms, including GoHighLevel for voice AI, scheduling, and workflow automation. Features and functionality may change over time as we improve the Service.

03  Eligibility & Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for business use. To use most features, you must register for an account and provide accurate, complete, and current information.

You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly of any unauthorized access. We may suspend or terminate accounts that contain false information or that we reasonably believe are being misused.

04  Free Trial

We may offer a free trial of the Service. Unless stated otherwise at signup, a trial gives you limited-time access to certain features. We may require a payment method to start a trial. If you do not cancel before the trial ends, your subscription will automatically begin and your payment method will be charged the applicable fee for the plan you selected. We may modify or discontinue trials at any time. Trial usage limits, eligibility, and terms are described at signup.

05  Plans, Billing & Renewal

Fees.  Subscription fees, usage limits, and any overage or add-on charges are described on our pricing page or at checkout. You agree to pay all fees for your plan.

Payment processor.  Payments are processed by Stripe. By providing a payment method, you authorize us and Stripe to charge it for all amounts due.

Auto-renewal.  Subscriptions renew automatically at the end of each monthly billing cycle at the then-current rate until cancelled. By subscribing, you authorize recurring monthly charges.

Taxes.  Fees are exclusive of taxes, which you are responsible for unless we are required to collect them.

Changes to pricing.  We may change fees with advance notice; changes apply to the next billing cycle.

Late or failed payment.  If a charge fails, we may retry, suspend, or terminate the Service until payment is made.

06  Cancellation & Refunds

You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. Cancellation takes effect at the end of your current paid billing period — you will retain full access to the Service through that date and will not be charged for the following month.

We do not issue refunds or credits for any portion of a billing period already paid. All sales are final; no partial-month or prorated refunds are provided. Where required by law, statutory rights are not affected.

07  Call Recording & Consent

This is your responsibility as the Customer.

The Service records and transcribes calls. Laws in many U.S. states and other jurisdictions require notice and/or the consent of one or all parties before a call may be recorded. You are solely responsible for understanding and complying with the recording, wiretap, and privacy laws that apply to you and your callers, including providing any required notice or obtaining any required consent before calls are recorded.

We provide tools (such as a configurable recording disclosure in your AI greeting) to help you comply, but we do not provide legal advice and do not guarantee that any configuration satisfies the law applicable to you. You assume all responsibility and liability arising from the recording of calls through the Service.

08  SMS, Calls & TCPA Compliance

The Service can send SMS messages, reminders, and other communications to your callers and contacts on your behalf. You are responsible for ensuring you have all consents required under the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, CAN-SPAM, and any applicable state and international laws before such messages are sent; for honoring opt-out and do-not-call requests; and for the content of messages you configure. You will not use the Service to send unlawful, unsolicited, or harassing communications. You agree to indemnify us for claims arising from your communications (see Section 16).

09  AI Limitations & No Emergency Use

The Service uses artificial intelligence, which is probabilistic and may produce errors, misunderstand callers, transcribe inaccurately, or take unintended actions. You acknowledge that the Service is an automated assistant and not a substitute for human judgment. You are responsible for reviewing call summaries, appointments, and messages and for following up where appropriate.

Not for emergencies.

The Service is not an emergency service and must not be relied upon to handle emergencies, urgent safety issues, or any situation requiring immediate human or professional response. Callers with an emergency should contact emergency services (such as 911) or the appropriate professional directly. You agree to configure your AI to direct emergency or urgent callers accordingly.

The Service does not provide legal, medical, financial, or other professional advice, and any information conveyed by the AI is for general business purposes only.

10  Acceptable Use

You agree not to, and not to permit others to:

Use the Service for any unlawful, fraudulent, deceptive, or harmful purpose.

Violate call-recording, telemarketing, privacy, or consumer-protection laws.

Upload or transmit content that infringes others’ rights or is unlawful, defamatory, or harmful.

Attempt to disrupt, reverse engineer, scrape, overload, or gain unauthorized access to the Service or its underlying providers.

Resell, sublicense, or white-label the Service except as expressly authorized in writing.

Use the Service to collect sensitive personal information you are not authorized to collect, or in violation of any provider’s terms (including GoHighLevel and Stripe).

We may investigate and take action, including suspension or termination, for any violation.

11  Your Data & Content

You retain ownership of the business information, knowledge-base content, and caller data associated with your account (“Customer Data”). You grant us a worldwide, non-exclusive license to host, process, and use Customer Data as needed to provide, secure, and improve the Service and to comply with law. You are responsible for the accuracy and lawfulness of Customer Data and for having the rights and consents necessary for us to process it. Our handling of personal information is described in our Privacy Policy, and Customers subject to specific privacy laws may request a Data Processing Addendum.

12  Intellectual Property

The Service, including its software, design, content, trademarks, and the “Answer Perfect” brand, is owned by Answer Perfect or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, or create derivative works from the Service except as permitted. Any feedback you provide may be used by us without obligation to you.

13  Third-Party Services

The Service relies on and integrates third-party platforms and providers, including GoHighLevel, Stripe, and telephony and AI providers. Your use of those features may be subject to the third party’s own terms, and we are not responsible for third-party services, outages, or changes. We may add, change, or remove integrations at any time.

14  Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT IT WILL MEET YOUR REQUIREMENTS, ACCURATELY INTERPRET EVERY CALL, OR CAPTURE EVERY CALLER OR APPOINTMENT. YOU USE THE SERVICE AT YOUR OWN RISK.

15  Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANSWER PERFECT AND ITS OFFICERS, EMPLOYEES, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR FOR MISSED CALLS, LOST LEADS, OR MISSED APPOINTMENTS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16  Indemnification

You agree to defend, indemnify, and hold harmless Answer Perfect and its affiliates, officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: your use of the Service; your Customer Data; your communications with callers; your violation of call-recording, TCPA, privacy, or other laws; or your breach of these Terms.

17  Termination

You may cancel and stop using the Service at any time as described in Section 6. We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay, or use the Service in a way that creates legal or security risk. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and dispute provisions — will survive.

18  Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules.

Informal resolution first. Before filing any claim, you agree to contact us at [email protected] and give us 30 days to attempt to resolve the dispute informally.

Binding Arbitration & Class Action Waiver

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, which are available at www.adr.org. The arbitration will be conducted remotely (by telephone or videoconference) unless both parties agree otherwise. The arbitrator’s award will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

YOU AND ANSWER PERFECT EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.

Opt-out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms. Your opt-out must include your name, business name, and a clear statement that you wish to opt out of arbitration.

19  Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and may provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

20  General

Entire agreement.  These Terms and the Privacy Policy are the entire agreement between you and Answer Perfect regarding the Service.

Severability.  If any provision is found unenforceable, the rest remains in effect.

No waiver.  Our failure to enforce a provision is not a waiver of it.

Assignment.  You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

Force majeure.  We are not liable for delays or failures caused by events beyond our reasonable control.
